Addendum to Purchase Agreement (Universal) — Wisconsin Edition Template

Deals change after signing — repair credits get negotiated after inspection, closing dates slip, appraisal gaps get bridged, personal property gets added or removed. The clean, enforceable way to document any of it is a written addendum executed by all parties, because nearly every purchase agreement contains an integration/merger clause providing that modifications must be in writing, and the statute of frauds in every state requires material modifications to real estate contracts to be written anyway.

This Universal Addendum to Purchase Agreement is deliberately flexible: it identifies the underlying contract by parties, property, and effective date; provides numbered blank provisions for the new or modified terms; states that all other terms of the purchase agreement remain in full force and effect; handles conflicts between the addendum and the original agreement (addendum controls); and includes execution blocks for all buyers and sellers with dates. It is the form you reach for dozens of times a year.

The 3-page template also ships with a drafting guide containing ready-to-adapt clause language for the most common addendum scenarios: inspection repair resolutions, closing date extensions, appraisal gap provisions, seller concessions and credits (with a note on lender concession caps), personal property inclusions, post-closing occupancy stubs, and contingency waivers. The 50-state notes flag jurisdictions with specific counterpart-execution or electronic signature nuances (all states have adopted UETA or equivalent, and federal E-SIGN, 15 U.S.C. § 7001, validates electronic signatures, but practice details vary). Template for drafting purposes — review significant modifications with a broker or attorney.

About this Wisconsin Edition: These twelve templates are drafted around Wisconsin's firm-centered real estate license law. Agency runs between the firm and its clients under Wis. Stat. ch. 452, with duties owed to all parties (§ 452.133), written brokerage disclosure (§ 452.135), and "multiple representation relationships" permitted only with written client consent, with or without designated agency (§ 452.134). Each form carries a prominent notice that Wisconsin licensees must use DSPS/REEB-approved forms (WB-1, WB-11, WB-36, WB-40, WB-44 and others) where Wis. Admin. Code ch. REEB 16 requires them; these documents are positioned as educational drafting templates and supplemental documents. The edition reflects the § 240.10 writing requirement for commission agreements, the § 706.02 statute of frauds, the Real Estate Condition Report regime in Wis. Stat. ch. 709 (treated as a supplement to, never a substitute for, the statutory form), ch. 137 UETA electronic signatures, § 452.38 independent contractor status alongside the firm's non-waivable REEB 17 supervision duty, REEB 18 trust-account rules, § 779.32 commercial broker liens, and § 103.465 restrictive-covenant limits. Not legal advice; have a Wisconsin-licensed attorney review before use.
